Article 1- Purpose and Name
Section 1: The name of this club shall be:
Central Oregon Snowbusters, Inc.
Section 2: The purpose of the club shall be
to stimulate and advance the general welfare and safety of
snowmobiling, to serve the interest of snowmobile owners,
to defend such owners against discriminatory legislation,
regulations, and burdensome taxation, to develop a fraternal
spirit among local snowmobile and other winter sport enthusiasts,
to provide a medium for exchange of snowmobiling information,
to own or lease property for club uses, and to perform all
desirable and lawful functions for the successful operation
of the club and in general public interest.
Article 2- Organization
Section 1: This club shall be incorporated
under the statutes of the State of Oregon.
Section 2: The by-laws of this club shall
be in the conformance with those set forth in the By-Laws
of the Oregon State Snowmobile Association, Inc., article
13.
Section 3: This club shall be an affiliated
member organization of the Oregon State Snowmobile Association,
Inc.
Section 4: This club shall participate in the insurance program
provided by the Oregon State Snowmobile Association, Inc.;
in order to beneficially protect its members in club sponsored
group activities, according to the terms and requirements
of the insurance policy.
Article 3- Membership
Section 1: Membership in the club shall consist
of:
- A: Active family membership (persons living
in the same household)
- B: Active single membership (18 yrs. or
older)
- C: Oregon State Snowmobile Association
membership
Section 2: Active membership is available
to individuals or families who wish to join the club and are
willing to promote the general welfare and safety of snowmobiling.
Section 3: Each active member, 18 yrs and
older shall be entitled to one vote and the maximum vote for
a family membership is limited to 2 votes.
Section 4: The Officers and Board of directors
may establish the qualifications and rights of members.
Section 5: Disruptive behavior and or offensive
language will NOT be tolerated. Any offender(s) may be subject
to removal from the club by an affirmative vote of 2/3 of
the active membership, in compliance with Article 11/Section
1- Amendments.
Section 6: Any club member may resign
from the club at any time upon notice to the club secretary.
Dues paid in advance will NOT be refunded.
ARTICLE 4 -Management
Section 1: The management of the club shall be vested in
the Officers and Board of Directors of said club.
ARTICLE 5 - Dues
Section 1: The membership dues for Central Oregon Snowbusters
will be the same for Active family and or Active single membership
and will be due and payable on July 1 st each new fiscal year,
and NO later than December 1 st of the new fiscal year. Dues
to Central Oregon Snowbusters, shall include dues to Oregon
State Snowmobile Assoc., unless OSSA dues have been previously
paid through another Oregon snowmobile club for the current
year. All club members that are NOT paid in full by Dec. 1
st will be dropped from the membership list unless other arrangements
have been made for payment of dues. OSSA dues will be dispersed
to OSSA by the club treasurer.
Section 2: Dues will be set by the resolution of the Officers
and Board of this club.
ARTICLE 6 - Officers
Section 1:
- A: The officers of the club shall be: President, Vice-President,
Secretary and/ or Treasurer, and Advisor (past President),
and will each serve a 2 year term, and or as long as desired
by the vote of the general membership.
- B: The Board of Directors will include 4 members, each
having a 2 year term. Members 1 and 3 will be elected in
the odd numbered years, members 2 and 4 will be elected
in the even numbered years.
Section 2: Vacancies occurring between elections may be filled
for the unexpired term by a new vote of the active members
present at a general meeting. Any Officer or Director may
be removed from office by the affirmative vote of two- thirds
of the active membership, in compliance with Article 11/ Section
1, amendments.
Section 3: All officers and directors shall take office at
the beginning of the fiscal year, July 1, and hold office
for two years.
Section 4: The President shall preside at all meetings of
the club, shall appoint such committees as authorized by the
membership, shall be a member ex-officio of all committees
and shall carry on those other responsibilities assigned to
him by the By-Laws and the membership.
Section 5: The Vice-President, shall preside during the absence
or temporary incapacity of the President. The Vice-President
shall perform the duties of the President and have the powers
of the President.
Section 6: The secretary shall keep all of the club's records,
including the minutes of meetings, lists of committees and
their members, shall act as the corresponding secretary on
behalf of the President and the club, shall maintain a permanent
record of all records developed between the club and the U.S.
Forest Service and other public agencies or groups.
Section 7: The Treasurer shall maintain the roster of members,
collecting and dispersing the State Association dues to the
Oregon State Snowmobile Association. The treasurer shall keep
the accounts of the club and have charge of its funds. He/She
shall keep the club's funds in a bank approved by the officers
and in the name of the club, subject to withdrawal by checks
signed by both the Treasurer and the President. He/She shall
disperse the funds of the club under the direction of the
Officers and Directors. A treasurer's report shall be prepared
for each meeting and an annual audit shall be prepared prior
to turning the records over to the new treasurer.
Section 8: The advisor will be the immediate Past-President.
Section 9: All officers shall have such powers and duties
as required by law.
Section 10: The President and Vice-President of the club
shall be delegates to the annual convention. If either of
the appointed delegates cannot represent the club at the convention,
the President shall appoint an alternate.
ARTICLE 7- Fiscal Year
Section 1: The fiscal year of the club shall
commence on the first day of July each year and end on the
last day of June, the following year.
ARTICLE 8- Meetings
Section 1: Regular meetings of the club shall
be held monthly at the time and place fixed by resolution
at the previous meeting or as designated by the President.
Section 2: Any formal action taken at any
meeting of the membership shall require a majority vote of
those active members present.
ARTICLE 9- Election Procedure
Section 1: Central Oregon Snowbusters, Inc.
shall elect officers no later than the last day of May each
year.
Section 2: Names of the elected officers and
Board of Directors shall be reported to OSSA no later than
the last day of June each year.
Section 3: The secretary of Central Oregon
Snowbusters will prepare and send a current and complete list
of members to OSSA as needed for each fiscal year.
Section 4: Nominating Committee: The President,
in March of each year, shall appoint a Nominating Committee
consisting of three active members of the club, one of whom
shall be a member of said Board of Directors. It shall be
the duty of this nominating committee to nominate a list of
candidates for such offices as there are to be filled at the
annual election.
Section 5: Right to Vote: No member shall
be permitted to vote at the annual election or meeting whose
indebtedness to the club is outstanding after December 1 st
.
Section 6: Balloting: Election
of Officers and Directors will be by written ballot. The person
receiving the plurality of votes shall be declared as elected.
NO absentee ballots will be accepted for this election.
Section 7: The accounting records for Central
Oregon Snowbusters shall be closed at the end of each fiscal
year, June 30 th , and presented to the new officers, following
an audit by a committee appointed by the Officers and Board
of directors.
ARTICLE 10- Dissolving of the Club
Section 1: All remaining funds left in the
club treasury after all expenditures upon dissolving of the
club will be donated to The Candlelighters, or a charity of
choice.
ARTICLE 11- Amendments
Section 1: Amendments to the By Laws must
be in written form and sent to all active club members 30
days prior to a vote. Absentee votes will be accepted. Absentee
votes must be received no later than 1 week prior to the vote.
If an active member does NOT respond with an absentee vote,
within the designated time period, that active member's vote
will be considered a YES vote.
